Terms and Conditions

These Terms and Conditions (the "Terms") govern access to and use of the platform operated under the Orbink brand by Coinaute ("Orbink", "we", "us"). They are written in English for the convenience of international users and are governed by French law. By creating an account or placing an order, you accept these Terms in full.

1. Purpose

The purpose of these Terms is to define the conditions under which Orbink provides its online marketplace and the conditions under which users (advertisers and publishers) may access the platform, place orders and receive or deliver services.

2. Definitions

• Platform: the websites accessible at orbink.com and app.orbink.com.
• Buyer: a user who places orders for sponsored articles or backlinks.
• Publisher: a user who lists media outlets and accepts orders from buyers.
• Service: any digital service ordered through the Platform, including sponsored articles, backlinks and publisher matching.
• Order: a confirmed request for a Service placed by a Buyer through the Platform.

3. Platform Access

Access to the Platform requires the creation of an account. Users must provide accurate information and keep it up to date. Each user is responsible for the confidentiality of their credentials and for any activity carried out under their account. Orbink reserves the right to suspend or terminate any account that does not comply with these Terms.

4. Services

Orbink operates as a marketplace intermediary. We connect Buyers with independent Publishers for the purpose of ordering and delivering sponsored articles, backlinks and related publisher matching services.

Orbink does not produce, edit or own the content published by Publishers. Orbink does not act as the editor of third-party publications and may not be held responsible for the content, editorial decisions or compliance of any Publisher with applicable laws.

5. Orders

Orders are placed directly through the Platform. Each Order constitutes a binding commitment between the Buyer and the relevant Publisher, with Orbink acting as the technical and contractual intermediary. Once an Order is confirmed and paid, it cannot be cancelled unilaterally except as provided in our Refund Policy.

6. Pricing and Payment via Stripe

Prices are displayed in the Platform interface and are exclusive of taxes unless stated otherwise. Payments are processed by our payment provider Stripe through secure channels. By placing a paid Order, the Buyer authorises Orbink and Stripe to collect the corresponding amount.

Orbink does not store full payment card details. All card data is handled by Stripe in accordance with the PCI-DSS standard.

7. Digital Service Delivery

Services ordered through the Platform are digital services delivered electronically. Delivery is considered effective once the corresponding content has been published or the corresponding deliverable has been made available in the Buyer's account.

By placing an Order, the Buyer expressly requests that performance of the Service begins immediately and acknowledges that, in accordance with Article L.221-28 of the French Consumer Code, the right of withdrawal does not apply once the Service has been fully performed.

8. Liability

Orbink's liability is strictly limited to the proper functioning of the Platform as an intermediation tool. Orbink may not be held liable for the editorial content delivered by Publishers, for the SEO results of any campaign, for actions taken by third-party search engines or for any indirect or consequential damages.

In any case, Orbink's aggregate liability for any claim relating to a given Order is capped at the amount actually paid by the Buyer for that Order.

9. User Obligations

Users undertake to use the Platform in good faith and in accordance with applicable laws. Users must not upload or transmit any content that is unlawful, infringing, defamatory, misleading or otherwise inappropriate. Users must not attempt to circumvent the Platform, defraud Publishers or buyers, or scrape the Platform without prior written authorisation.

10. Intellectual Property

The Platform, its software, design, brand, logo and databases are the exclusive property of Coinaute. Users are granted a limited, non-exclusive, non-transferable right to use the Platform for the duration of their account, strictly for the purpose of accessing the Services.

Content uploaded by users remains the property of its rightful owners. By submitting content to the Platform, users grant Orbink the necessary rights to display, transmit and process that content for the purpose of providing the Services.

11. Personal Data (GDPR)

Personal data collected through the Platform is processed in accordance with the EU General Data Protection Regulation (GDPR) and the French Data Protection Act. Our detailed practices are described in our Privacy Policy. Users may exercise their rights of access, rectification, erasure, restriction, portability and objection by contacting [email protected].

12. Termination

Users may close their account at any time by contacting [email protected]. Orbink may suspend or terminate any account in case of breach of these Terms, fraudulent behaviour, non-payment, or any conduct that may harm the Platform or other users. Termination does not affect Orders already placed and validated.

13. Governing Law

These Terms are governed by French law. Any dispute arising in connection with the Platform or these Terms shall, after an attempt at amicable resolution, be submitted to the competent French courts.
